ALGEMENE VERKOOPSVOORWAARDEN

AGERTI NV — Business-to-Business (B2B) klanten

Artikel 1 – Toepassingsgebied

1.1 Deze algemene verkoopsvoorwaarden (“Voorwaarden”) zijn van toepassing op elke

offerte, bestelling, levering en overeenkomst tussen Agerti NV (“Agerti”) en haar

professionele klanten (“Klant”), met uitsluiting van de eigen (aankoop)voorwaarden van de

Klant, zelfs indien deze zouden bepalen dat zij als enige gelden.

1.2 Deze Voorwaarden gelden uitsluitend voor verkopen aan

ondernemingen/professionele kopers (B2B) in de zin van het Wetboek van Economisch

Recht, en niet voor verkopen aan consumenten.

1.3 Er wordt geen enkele afwijking van deze Voorwaarden aanvaard, behoudens

uitdrukkelijk en schriftelijk akkoord van een daartoe statutair bevoegd orgaan of

gevolmachtigde van Agerti (zie ook art. 8.2). Het feit dat Agerti zich in een bepaald geval

niet op een beding van deze Voorwaarden beroept, kan nooit worden geïnterpreteerd als

een verzaking om zich er later op te beroepen.

1.4 Door het plaatsen van een bestelling erkent de Klant kennis te hebben genomen van

deze Voorwaarden en deze zonder voorbehoud te aanvaarden.

Artikel 2 – Offertes en totstandkoming van de overeenkomst

2.1 Alle offertes, prijslijsten, catalogi en collecties van Agerti zijn vrijblijvend en binden

Agerti niet, behoudens uitdrukkelijke schriftelijke bevestiging.

2.2 Een overeenkomst komt pas geldig tot stand na schriftelijke orderbevestiging door

Agerti (aanvaarding wordt standaard bevestigd door een bevestigingsmail). Bestellingen of

overeenkomsten die worden afgesloten door vertegenwoordigers, handelsagenten of

ander verkooppersoneel van Agerti, zijn voor Agerti niet bindend zolang zij niet

uitdrukkelijk schriftelijk werden goedgekeurd en bevestigd door een daartoe bevoegde

persoon van Agerti.

2.3 Agerti behoudt zich het recht voor om, geheel naar eigen discretie, een bestelling of

een (nieuwe) handelsrelatie te weigeren, te beperken, of afhankelijk te maken van een

voorschot of andere waarborg. Dit geldt in het bijzonder, doch niet uitsluitend: (i) indien de

kredietwaardigheid of financiële toestand van de (kandidaat-)Klant twijfelachtig is; (ii) om

commerciële of strategische redenen, waaronder begrepen de wens van Agerti om haar

distributienetwerk, haar positionering en het imago van haar merken te bewaken en te

sturen; of (iii) indien de winkel(s), showroom(s) of het (online) verkooppunt van de

(kandidaat-)Klant, naar het redelijk oordeel van Agerti, qua uitstraling, inrichting, ligging,

omgeving of geviseerd segment niet (langer) verenigbaar zijn met het kwalitatief en

exclusief imago van de merken van Agerti.

2.4 De in art. 2.3 bedoelde criteria worden door Agerti op objectieve, kwalitatieve en nietdiscriminerende

wijze toegepast ten aanzien van alle (kandidaat-)Klanten die zich in een

vergelijkbare situatie bevinden, met als enig doel de kwaliteit, de presentatie en het imago

van de merken van Agerti te bewaken. Een weigering op grond van art. 2.3 geeft de

(kandidaat-)Klant geen recht op enige schadevergoeding.

Artikel 3 – Prijzen

3.1 Alle prijzen zijn steeds exclusief btw en exclusief transport-, verpakkings- en

verzekeringskosten, tenzij uitdrukkelijk anders vermeld.

3.2 De prijs wordt vastgesteld volgens het tarief van Agerti dat van toepassing is op het

ogenblik van de levering. Tarieven, prijslijsten of prijsindicaties die aan de Klant worden

getoond of meegedeeld op het ogenblik van de orderopname (bestelling), zijn louter

indicatief en binden Agerti niet.

3.3 Door Agerti meegedeelde verkoopprijzen aan het publiek (“adviesprijzen”) zijn

indicatief. Zie evenwel art. 9 met betrekking tot het door Agerti gevraagde

prijszettingsbeleid ter bescherming van het merkimago.

Artikel 4 – Levering en kosten

4.1 De meegedeelde leveringstermijnen zijn indicatief en niet-bindend. Agerti is

afhankelijk van productieplanning en de aanvoer van grondstoffen en materialen bij haar

leveranciers, en spant zich in om de Klant zo goed mogelijk binnen de gewenste termijn te

bedienen.

4.2 De vertraging en/of de niet-naleving van een leveringstermijn kan geen aanleiding

geven tot verbreking of ontbinding van de overeenkomst — noch van de betrokken

bestelling, noch van de ruimere handelsrelatie tussen partijen — noch tot

schadevergoeding of prijsvermindering ten laste van Agerti.

4.3 Binnen de Europese Unie levert Agerti CPT (Carriage Paid To — Incoterms® in de

op het ogenblik van de bestelling geldende versie), zodat de vervoerskosten in beginsel in

de prijs zijn inbegrepen. Voor bestellingen onder een netto orderbedrag van € 500 (excl.

btw) wordt niettemin een forfaitaire transportkost van € 15 aangerekend.

4.4 Buiten de Europese Unie levert Agerti in beginsel EXW (Ex Works — af magazijn

van Agerti), tenzij CPT-levering uitdrukkelijk werd overeengekomen. Indien Agerti, op

vraag van de Klant of in onderling akkoord, het transport voor haar rekening organiseert,

worden de transportkosten aan de Klant doorgerekend op basis van, naar keuze en

volledig discretionair te bepalen door Agerti, (i) de geraamde kost van de door Agerti

aangestelde transporteur, of (ii) de effectief aan Agerti gefactureerde transportkost. De

transporteur wordt in dat geval steeds door Agerti gekozen.

4.5 Onverminderd de toepasselijke Incoterm gaat het risico van verlies, beschadiging of

tenietgaan van de goederen over op de Klant op het ogenblik dat de goederen aan de

eerste vervoerder worden overhandigd (bij CPT), respectievelijk op het ogenblik dat zij ter

beschikking van de Klant worden gesteld in de magazijnen van Agerti (bij EXW), zelfs bij

franco verzending.

4.6 Agerti levert naar best vermogen de bestelde hoeveelheden, maar biedt

dienaangaande geen enkele garantie: de effectief geleverde hoeveelheden kunnen

afwijken van de bestelde hoeveelheden, zonder dat dit aanleiding kan geven tot

schadevergoeding of weigering van de levering door de Klant. Indien een deel van een

bestelling niet, of niet tijdig, geleverd kan worden, zal Agerti binnen de grenzen van het

redelijke haar best doen om dit gedeelte, in overleg met de Klant, te vervangen door

gelijkaardige of andere door de Klant gewenste goederen; dit vormt evenwel geen

verbintenis in hoofde van Agerti.

Artikel 5 – Klachten en oplevering

5.1 De Klant dient de goederen onmiddellijk bij levering te controleren op zichtbare

gebreken, conformiteit en volledigheid. Klachten hieromtrent dienen, op straffe van verval,

uiterlijk binnen de 48 uur (2 kalenderdagen) na levering schriftelijk (e-mail volstaat) aan

Agerti te worden gemeld.

5.2 Andere klachten (verborgen gebreken, factuurklachten) dienen eveneens schriftelijk

gemeld te worden binnen de 5 kalenderdagen na ontvangst van de factuur, respectievelijk

na de ontdekking van het gebrek. Bij gebreke hieraan wordt de levering/factuur geacht

definitief en zonder voorbehoud aanvaard te zijn.

5.3 Een klacht met betrekking tot een deel van de levering geeft de Klant niet het recht

om de volledige levering te weigeren, noch om de betaling van het niet-betwiste gedeelte

op te schorten.

5.4 Het (gedeeltelijk) gebruik, de doorlevering of de doorverkoop van de goederen geldt

als aanvaarding van de levering.

5.5 Behoudens in geval van een tijdig en geldig gemelde klacht overeenkomstig art. 5.1-

5.2, of mits voorafgaand uitdrukkelijk en schriftelijk akkoord van Agerti, worden geleverde

goederen niet teruggenomen. De Klant heeft, buiten die gevallen, geen recht op retour,

omruiling of terugbetaling van conforme goederen, bijvoorbeeld wegens een gewijzigde

keuze of een tegenvallend verkoopsucces.

5.6 Indien de Klant de levering of de inontvangstneming van een correct geplaatste en

conforme bestelling weigert of onmogelijk maakt, is Agerti gerechtigd om, van rechtswege

en zonder voorafgaande ingebrekestelling, een forfaitaire onkostenvergoeding van 15%

van het factuurbedrag (excl. btw) aan te rekenen, vermeerderd met de effectief gemaakte

transportkosten (heen, en desgevallend terug), onverminderd het recht van Agerti om een

hogere, werkelijk geleden schade te bewijzen en te vorderen. Dit doet geen afbreuk aan

het recht van de Klant om een levering te weigeren in geval van een geldige klacht

overeenkomstig art. 5.1-5.2.

Artikel 6 – Betalingsvoorwaarden

6.1 Facturen van Agerti zijn betaalbaar binnen de [30] dagen na factuurdatum, tenzij

anders vermeld op de factuur of de orderbevestiging, en onder voorbehoud van de

bijzondere regeling in art. 6.2.

6.2 Klanten die niet gedekt zijn door de kredietverzekering van Agerti, dienen te werken

met volledige vooruitbetaling van de bestelling vóór levering. Voor bestellingen die wel

gedekt zijn door de kredietverzekering van Agerti, geldt een betalingstermijn van 30 dagen

vanaf factuurdatum.

6.3 Elke factuur die niet volledig betaald is op haar vervaldag, wordt van rechtswege en

zonder voorafgaande ingebrekestelling verhoogd met: (i) verwijlinterest aan de

interestvoet voor handelstransacties zoals bepaald in de Wet van 2 augustus 2002

betreffende de bestrijding van de betalingsachterstand bij handelstransacties, of, indien dit

voor Agerti gunstiger is, aan een vaste interestvoet van 1% per begonnen maand; (ii) de

forfaitaire vergoeding van € 40 voor invorderingskosten waarop Agerti krachtens art. 6 van

voormelde Wet sowieso aanspraak kan maken; en (iii) een bijkomende forfaitaire

schadevergoeding van 10% van het onbetaalde bedrag met een minimum van € 250, ter

dekking van de overige (buitengerechtelijke) invorderingskosten, onverminderd het recht

van Agerti om een hogere, werkelijk geleden schade te bewijzen en te vorderen.

6.4 De niet-betaling van één enkele factuur op haar vervaldag maakt van rechtswege en

zonder ingebrekestelling het verschuldigd saldo van alle andere, zelfs nog niet vervallen,

facturen van de Klant onmiddellijk opeisbaar. Agerti kan in dat geval bovendien de

uitvoering van lopende bestellingen opschorten of annuleren, onverminderd haar recht op

schadevergoeding.

6.5 Alle facturen zijn betaalbaar op de maatschappelijke zetel van Agerti of op de

bankrekening van Agerti. Een wijziging van deze bankrekening zal door Agerti nooit

uitsluitend per e-mail worden meegedeeld; de Klant wordt uitdrukkelijk verzocht elke

vermeende wijziging van rekeningnummer, vóór betaling, telefonisch te verifiëren bij een

bekende contactpersoon van Agerti. Agerti kan niet aansprakelijk worden gesteld voor

betalingen die de Klant, zonder deze verificatie, verricht op een frauduleus of foutief

rekeningnummer.

6.6 Betaling door middel van een cheque of een wissel wordt door Agerti niet aanvaard

zonder voorafgaand schriftelijk akkoord, ondertekend door een daartoe gevolmachtigde

vertegenwoordiger van Agerti. Een betaling door middel van een cheque of wissel wordt,

zelfs indien deze door Agerti (of door een vertegenwoordiger, agent of andere aangestelde

van Agerti) in ontvangst werd genomen, pas als een geldige betaling erkend op het

ogenblik dat het overeenstemmend bedrag daadwerkelijk op de rekening van Agerti werd

gecrediteerd. Agerti is in geen geval verantwoordelijk voor cheques of wissels — met

inbegrip van het verlies, de diefstal, de vervalsing of het zoekraken ervan — en dit ook niet

na de overdracht ervan aan Agerti, aan een vertegenwoordiger, agent of andere

aangestelde van Agerti, of aan enige andere persoon die in opdracht van Agerti optreedt.

Artikel 7 – Eigendomsvoorbehoud

7.1 De geleverde goederen blijven de volledige en uitsluitende eigendom van Agerti tot

op het ogenblik van de volledige betaling van de prijs, in hoofdsom, kosten en interesten,

van de betreffende levering(en), overeenkomstig artikel 69 van de Insolventiewet en de

artikelen inzake eigendomsvoorbehoud van het Belgisch Burgerlijk Wetboek. De Klant

erkent dat dit eigendomsvoorbehoud een essentiële voorwaarde van de verkoop is en

verbindt zich ertoe de nog niet volledig betaalde goederen als dusdanig herkenbaar en

gescheiden te houden van andere goederen.

7.2 Niettegenstaande dit eigendomsvoorbehoud gaat het risico van verlies, beschadiging

of tenietgaan van de goederen over op de Klant overeenkomstig art. 4.5. De Klant is dan

ook gehouden de goederen te verzekeren zolang deze niet volledig betaald zijn.

7.3 Bij niet-betaling van een factuur op haar vervaldag, bij niet-naleving van de

betalingsvoorwaarden, of indien Agerti gegronde redenen heeft om te twijfelen aan de

kredietwaardigheid of solvabiliteit van de Klant (waaronder begrepen een aanvraag tot

gerechtelijke reorganisatie, faillissement, of gelijkaardige procedure), heeft Agerti het recht

om, zonder voorafgaande ingebrekestelling en zonder voorafgaande rechterlijke

tussenkomst, de onmiddellijke teruggave te eisen van alle nog niet (volledig) betaalde

goederen, waar deze zich ook bevinden — dit als maximale waarborg voor Agerti.

7.4 De Klant verbindt zich er onherroepelijk toe Agerti, of een door Agerti aangestelde

transporteur, vrije toegang te verlenen tot zijn lokalen, winkels, magazijnen of andere

plaatsen waar de goederen zich bevinden, om de niet-betaalde goederen op te halen, dit

zonder voorafgaande kennisgeving. Alle kosten verbonden aan deze terughaling

(transport, opslag, demontage, ...) zijn integraal ten laste van de Klant.

7.5 Indien de niet-betaalde goederen niet meer (volledig) in hun oorspronkelijke staat

kunnen worden teruggenomen, blijft de Klant gehouden tot betaling van de volledige prijs

van deze goederen, onverminderd het recht van Agerti op bijkomende schadevergoeding.

7.6 In geval van doorverkoop van nog niet-betaalde goederen door de Klant vóór

volledige betaling aan Agerti, draagt de Klant vanaf heden aan Agerti, bij wijze van

pand/zekerheid, alle schuldvorderingen over die voortvloeien uit die doorverkoop, ten

belope van het nog aan Agerti verschuldigde bedrag.

Artikel 8 – Consignatie

8.1 Agerti werkt niet met verkoop in consignatie (vatoire verkoop). Elke

consignatieregeling vereist een afzonderlijk, specifiek en door beide partijen ondertekend

schriftelijk consignatiecontract, waarbij het contract voor Agerti enkel geldig ondertekend

kan worden door een statutair bevoegde vertegenwoordiger van Agerti NV.

8.2 Mondelinge toezeggingen, afspraken, beloftes of akkoorden van vertegenwoordigers,

handelsagenten, verkopers of andere aangestelden van Agerti met betrekking tot een

consignatieregeling — of met betrekking tot enige andere afwijking van deze Voorwaarden

— zijn niet bindend voor Agerti en worden geacht nooit geldig namens Agerti te zijn

aangegaan, tenzij zij nadien schriftelijk werden bevestigd door een statutair bevoegde

vertegenwoordiger van Agerti.

8.3 Bij gebrek aan een dergelijk ondertekend consignatiecontract, worden alle aan de

Klant geleverde goederen onherroepelijk geacht verkocht te zijn (en dus niet in

consignatie), en zijn deze Voorwaarden — met inbegrip van de betalingsvoorwaarden (art.

6) en het eigendomsvoorbehoud (art. 7) — onverkort van toepassing.

Artikel 9 – Prijsbeleid en bescherming van het merkimago

9.1 De merken van Agerti positioneren zich uitdrukkelijk niet in het segment van de fast

fashion, maar wensen een kwalitatief, duurzaam en exclusief imago te behouden en uit te

dragen. Agerti is van mening dat dit imago mede gewaarborgd wordt door een waardig en

consistent prijszettingsbeleid doorheen het volledige verkoopnetwerk.

9.2 Agerti vraagt haar Klanten dan ook uitdrukkelijk om kortingen, solden, sales-acties en

andere prijsverminderingen op de producten van haar merken te beperken en met

terughoudendheid toe te passen, en om de door Agerti gecommuniceerde

adviesverkoopprijzen zoveel als mogelijk te respecteren, in het belang van het merkimago

en de waardebehoud van de collecties — ook in het belang van de Klant en het volledige

verkoopnetwerk.

9.3 Voor alle duidelijkheid, en zoals wettelijk vereist: de Klant blijft steeds volledig vrij om

zijn eigen verkoopprijs te bepalen. Dit artikel bevat een uitdrukkelijk verzoek en

aanbeveling van Agerti, en houdt geen bindende verplichting tot het aanhouden van

minimum- of vaste verkoopprijzen in.

9.4 Agerti behoudt zich niettemin het recht voor om, in geval van herhaaldelijke en

stelselmatige afwijking van dit verzoek door een Klant op een wijze die het merkimago

ernstig en aantoonbaar schaadt, de commerciële relatie met deze Klant (leveringen,

toegekende kortingen, toegang tot nieuwe collecties, displays, ...) te herzien of te

beëindigen, mits inachtneming van een opzegtermijn van drie (3) maanden, en steeds met

volledige inachtneming van het toepasselijke mededingingsrecht.

Artikel 10 – Onlineverkoop en marktplaatsen

10.1 Het is de Klant niet toegestaan de producten van de merken van Agerti aan te

bieden, te koop te stellen of te verkopen via online marktplaatsen (zoals, doch niet beperkt

tot, Amazon, Bol.com, Zalando, eBay, Vinted Pro of gelijkaardige platformen), via

onderaannemers of gesubcontracteerde onlinewinkels, of via enig ander online platform of

verkoopkanaal dat niet de eigen, directe onlinewinkel van de Klant is, zonder voorafgaand

uitdrukkelijk en schriftelijk akkoord van Agerti.

10.2 Indien Agerti een dergelijke toestemming verleent, geldt deze — behoudens

uitdrukkelijk anders schriftelijk overeengekomen — voor een initiële periode van één (1)

kalenderjaar vanaf de datum van toekenning, en nadien voor opeenvolgende periodes van

telkens zes (6) maanden, gekoppeld aan de commerciële seizoenen van Agerti

(zomerseizoen: februari – augustus; winterseizoen: september – januari).

10.3 Bij het verstrijken van de initiële periode, en nadien bij het verstrijken van elke

periode van 6 maanden, wordt de toestemming stilzwijgend verlengd met een nieuwe

periode van 6 maanden, tenzij tijdig opgezegd overeenkomstig art. 10.4.

10.4 Elke partij kan deze toestemming, telkens na afloop van de initiële periode van één

jaar en nadien na afloop van elke lopende periode van 6 maanden, beëindigen mits een

opzegtermijn van twee (2) maanden voorafgaand aan het einde van de lopende periode

wordt gerespecteerd.

10.5 Onverminderd art. 10.2-10.4 behoudt Agerti zich het recht voor om de in dit artikel

bedoelde toestemming, ook vóór het verstrijken van de lopende periode, met onmiddellijke

ingang schriftelijk in te trekken indien de Klant niet (langer) voldoet aan de door Agerti

gevraagde kwalitatieve normen voor de online presentatie en verkoop van de producten

(waaronder begrepen de kwaliteit van foto's en productinformatie, de verpakking en

verzending, en de klantendienst), of het prijsbeleid van art. 9 niet naleeft.

10.6 Voor verkoop via de eigen webshop van de Klant vraagt Agerti om de in art. 9

bedoelde adviesprijzen te respecteren en om geen online kortingen toe te kennen die niet

ook offline worden toegepast, steeds met inachtneming van art. 9.3.

10.7 Een schending van dit artikel 10 laat Agerti toe om, na ingebrekestelling die zonder

gevolg blijft binnen de gestelde termijn, de levering van goederen aan de Klant op te

schorten of de handelsrelatie te beëindigen, onverminderd het recht van Agerti op

schadevergoeding.

10.8 De naleving van het prijsbeleid van art. 9 geldt des te strikter voor online verkoop.

De merken van Agerti hechten immers bijzonder belang aan het vrijwaren van hun fysieke

(“brick-and-mortar”) verkoopnetwerk — niet alleen om commerciële redenen, maar ook

vanuit de overtuiging dat, ook uit ecologisch oogpunt, niet elk product onbeperkt en tegen

elke prijs online te grabbel dient te worden gegooid. In dezelfde geest zal Agerti haar

eigen online kortingen en solden tot een minimum beperken, en deze in beginsel

voorbehouden voor oudere producten of restanten van eindereeksen (“end of series”).

Artikel 11 – Displays en promotiemateriaal

11.1 Indien Agerti displays, schappen of ander promotie- of presentatiemateriaal ter

beschikking stelt van de Klant, blijft dit materiaal eigendom van Agerti en mag het

uitsluitend gebruikt worden voor de presentatie van producten van Agerti, tenzij schriftelijk

anders overeengekomen.

Artikel 12 – Aansprakelijkheid

12.1 Agerti is enkel aansprakelijk voor haar bedrog, opzettelijke fout of zware fout, en

voor die van haar aangestelden.

12.2 Agerti is in geen geval aansprakelijk voor onrechtstreekse schade, zoals — doch

niet beperkt tot — verlies van omzet, winst, cliënteel of imagoschade.

12.3 Onverminderd art. 12.1, is de aansprakelijkheid van Agerti voor elke rechtstreekse

schade steeds beperkt tot het factuurbedrag (excl. btw) van de levering die aanleiding gaf

tot de schade.

Artikel 13 – Overmacht

13.1 Agerti kan niet aansprakelijk worden gesteld voor een vertraging of tekortkoming die

het gevolg is van overmacht, waaronder begrepen, doch niet beperkt tot: natuurrampen,

epidemie of pandemie, oorlog, staking of lock-out, brand, tekort aan grondstoffen of

materialen, transportproblemen, cyberincidenten, of overheidsmaatregelen, en elke

andere omstandigheid buiten de redelijke controle van Agerti.

Artikel 14 – Intellectuele eigendom

14.1 Alle merken, logo's, ontwerpen, modellen en andere intellectuele eigendomsrechten

verbonden aan de producten en collecties van Agerti blijven de exclusieve eigendom van

Agerti en/of haar licentiegevers. De verkoop van de producten houdt geen enkele

overdracht van intellectuele eigendomsrechten in.

14.2 Het is de Klant niet toegestaan de merken, logo's of ontwerpen van Agerti te

gebruiken, te reproduceren of te wijzigen, behoudens voor zover strikt noodzakelijk voor

de normale wederverkoop van de producten, en behoudens voorafgaand schriftelijk

akkoord van Agerti in alle andere gevallen.

Artikel 15 – Verwerking van persoonsgegevens (GDPR)

15.1 Agerti verwerkt de persoonsgegevens van (vertegenwoordigers van) de Klant voor

doeleinden van klantenbeheer en de uitvoering van de overeenkomst (op grond van de

contractuele relatie), en, in voorkomend geval, voor direct marketing (op grond van het

gerechtvaardigd belang van Agerti). De Klant kan zich te allen tijde kosteloos verzetten

tegen verwerking voor direct marketingdoeleinden en kan zijn overige rechten (inzage,

verbetering, verwijdering, overdraagbaarheid, bezwaar) uitoefenen via de

contactgegevens van Agerti.

Artikel 16 – Niet-overdraagbaarheid

16.1 De rechten en verplichtingen die voortvloeien uit de overeenkomst met Agerti

kunnen door de Klant niet worden overgedragen aan derden zonder voorafgaand

schriftelijk akkoord van Agerti.

Artikel 17 – Deelbaarheid

17.1 De eventuele nietigheid, ongeldigheid of niet-afdwingbaarheid van (een deel van)

een bepaling van deze Voorwaarden tast de geldigheid van de overige bepalingen niet

aan. Partijen verbinden zich ertoe de nietige bepaling te goeder trouw te vervangen door

een geldige bepaling met een zo gelijkaardig mogelijk economisch en juridisch effect als

de nietige bepaling.

Artikel 18 – Toepasselijk recht en bevoegde rechtbank

18.1 Deze Voorwaarden en elke overeenkomst tussen Agerti en de Klant worden

uitsluitend beheerst door het Belgisch recht, met uitdrukkelijke uitsluiting van het Weens

Koopverdrag (CISG).

18.2 Elk geschil met betrekking tot het bestaan, de geldigheid, de interpretatie of de

uitvoering van deze Voorwaarden, of van enige overeenkomst tussen partijen, behoort tot

de uitsluitende bevoegdheid van de ondernemingsrechtbank Gent, afdeling Dendermonde,

onverminderd het recht van Agerti om de zaak in plaats daarvan aanhangig te maken voor

de volgens het gemeen recht bevoegde rechtbank van de zetel/woonplaats van de Klant.

Article 1 – Champ d'application

1.1 Les présentes conditions générales de vente (les « Conditions ») s'appliquent à toute offre, commande, livraison et convention entre Agerti NV (« Agerti ») et ses clients professionnels (le « Client »), à l'exclusion des conditions (d'achat) propres au Client, même si celles-ci prévoient qu'elles sont seules applicables.

1.2 Les présentes Conditions s'appliquent exclusivement aux ventes à des entreprises/acheteurs professionnels (B2B) au sens du Code de droit économique, et non aux ventes à des consommateurs.

1.3 Aucune dérogation aux présentes Conditions n'est admise, sauf accord exprès et écrit d'un organe statutairement habilité ou d'un mandataire d'Agerti (voir également l'art. 8.2). Le fait qu'Agerti ne se prévale pas, dans un cas déterminé, d'une clause des présentes Conditions ne peut jamais être interprété comme une renonciation à s'en prévaloir ultérieurement.

1.4 En passant commande, le Client reconnaît avoir pris connaissance des présentes Conditions et les accepter sans réserve.

Article 2 – Offres et formation du contrat

2.1 Toutes les offres, listes de prix, catalogues et collections d'Agerti sont faits sans engagement et ne lient pas Agerti, sauf confirmation écrite expresse.

2.2 Un contrat n'est valablement formé qu'après confirmation écrite de la commande par Agerti (l'acceptation est confirmée par défaut par un e-mail de confirmation). Les commandes ou conventions conclues par des représentants, agents commerciaux ou autres membres du personnel de vente d'Agerti ne lient pas Agerti tant qu'elles n'ont pas été expressément approuvées et confirmées par écrit par une personne habilitée à cet effet au sein d'Agerti.

2.3 Agerti se réserve le droit, à sa seule discrétion, de refuser ou de limiter une commande ou une (nouvelle) relation commerciale, ou de la subordonner au versement d'un acompte ou à une autre garantie. Tel est notamment, mais non exclusivement, le cas : (i) si la solvabilité ou la situation financière du Client (potentiel) est douteuse ; (ii) pour des raisons commerciales ou stratégiques, en ce compris la volonté d'Agerti de contrôler et d'orienter son réseau de distribution, son positionnement et l'image de ses marques ; ou (iii) si le(s) magasin(s), showroom(s) ou point(s) de vente (en ligne) du Client (potentiel) ne sont pas (ou plus), selon l'appréciation raisonnable d'Agerti, compatibles avec l'image qualitative et exclusive des marques d'Agerti, en termes d'apparence, d'aménagement, de situation, d'environnement ou de segment visé.

2.4 Agerti applique les critères visés à l'art. 2.3 de manière objective, qualitative et non discriminatoire à l'égard de tous les Clients (potentiels) se trouvant dans une situation comparable, dans le seul but de préserver la qualité, la présentation et l'image des marques d'Agerti. Un refus fondé sur l'art. 2.3 ne donne droit à aucune indemnité au profit du Client (potentiel).

Article 3 – Prix

3.1 Tous les prix s'entendent toujours hors TVA et hors frais de transport, d'emballage et d'assurance, sauf mention expresse contraire.

3.2 Le prix est déterminé selon le tarif d'Agerti en vigueur au moment de la livraison. Les tarifs, listes de prix ou indications de prix présentés ou communiqués au Client lors de la prise de commande sont purement indicatifs et ne lient pas Agerti.

3.3 Les prix de vente au public communiqués par Agerti (« prix conseillés ») sont indicatifs. Voir toutefois l'art. 9 concernant la politique de prix demandée par Agerti en vue de protéger l'image de marque.

Article 4 – Livraison et frais

4.1 Les délais de livraison communiqués sont indicatifs et non contraignants. Agerti dépend de sa planification de production et de l'approvisionnement en matières premières et en matériaux auprès de ses fournisseurs, et s'efforce de servir le Client au mieux dans le délai souhaité.

4.2 Le retard et/ou le non-respect d'un délai de livraison ne peut donner lieu ni à la rupture ou à la résolution du contrat — qu'il s'agisse de la commande concernée ou de la relation commerciale plus large entre les parties —, ni à une indemnité ou à une réduction de prix à charge d'Agerti.

4.3 Au sein de l'Union européenne, Agerti livre CPT (Carriage Paid To — Incoterms® dans leur version en vigueur au moment de la commande), de sorte que les frais de transport sont en principe compris dans le prix. Pour les commandes d'un montant net inférieur à 500 € (hors TVA), des frais de transport forfaitaires de 15 € sont néanmoins facturés.

4.4 En dehors de l'Union européenne, Agerti livre en principe EXW (Ex Works — départ entrepôt d'Agerti), sauf si une livraison CPT a été expressément convenue. Si Agerti, à la demande du Client ou d'un commun accord, organise le transport pour le compte de celui-ci, les frais de transport sont répercutés sur le Client sur la base, au choix d'Agerti et à sa seule discrétion, (i) du coût estimé du transporteur désigné par Agerti, ou (ii) du coût de transport effectivement facturé à Agerti. Dans ce cas, le transporteur est toujours choisi par Agerti.

4.5 Sans préjudice de l'Incoterm applicable, le risque de perte, d'endommagement ou de destruction des marchandises est transféré au Client au moment où les marchandises sont remises au premier transporteur (CPT), ou au moment où elles sont mises à la disposition du Client dans les entrepôts d'Agerti (EXW), même en cas d'expédition franco.

4.6 Agerti livre au mieux les quantités commandées, mais n'offre aucune garantie à cet égard : les quantités effectivement livrées peuvent différer des quantités commandées, sans que cela puisse donner lieu à une indemnité ou à un refus de la livraison par le Client. Si une partie d'une commande ne peut être livrée, ou ne peut l'être à temps, Agerti fera de son mieux, dans les limites du raisonnable et en concertation avec le Client, pour remplacer cette partie par des marchandises similaires ou par d'autres marchandises souhaitées par le Client ; ceci ne constitue toutefois pas un engagement dans le chef d'Agerti.

Article 5 – Réclamations et réception

5.1 Le Client est tenu de contrôler les marchandises dès la livraison quant aux vices apparents, à leur conformité et à leur caractère complet. Les réclamations à cet égard doivent, à peine de déchéance, être notifiées par écrit (un e-mail suffit) à Agerti au plus tard dans les 48 heures (2 jours calendrier) suivant la livraison.

5.2 Les autres réclamations (vices cachés, contestations de facture) doivent également être notifiées par écrit dans les 5 jours calendrier suivant, respectivement, la réception de la facture ou la découverte du vice. À défaut, la livraison/la facture est réputée acceptée définitivement et sans réserve.

5.3 Une réclamation portant sur une partie de la livraison ne donne pas au Client le droit de refuser l'ensemble de la livraison, ni de suspendre le paiement de la partie non contestée.

5.4 L'utilisation (partielle), la livraison à des tiers ou la revente des marchandises vaut acceptation de la livraison.

5.5 Sauf en cas de réclamation notifiée en temps utile et valablement conformément aux art. 5.1-5.2, ou moyennant l'accord préalable, exprès et écrit d'Agerti, les marchandises livrées ne sont pas reprises. En dehors de ces cas, le Client n'a aucun droit au retour, à l'échange ou au remboursement de marchandises conformes, par exemple en raison d'un changement de choix ou de ventes décevantes.

5.6 Si le Client refuse ou rend impossible la livraison ou la réception d'une commande correctement passée et conforme, Agerti est en droit de facturer, de plein droit et sans mise en demeure préalable, une indemnité forfaitaire pour frais de 15 % du montant de la facture (hors TVA), majorée des frais de transport effectivement exposés (aller et, le cas échéant, retour), sans préjudice du droit d'Agerti de prouver et de réclamer un dommage réellement subi plus élevé. Ceci ne porte pas atteinte au droit du Client de refuser une livraison en cas de réclamation valable conformément aux art. 5.1-5.2.

Article 6 – Conditions de paiement

6.1 Les factures d'Agerti sont payables dans les [30] jours suivant la date de facture, sauf mention contraire sur la facture ou la confirmation de commande, et sous réserve du régime particulier prévu à l'art. 6.2.

6.2 Les Clients qui ne sont pas couverts par l'assurance-crédit d'Agerti sont tenus de payer l'intégralité de la commande anticipativement, avant la livraison. Pour les commandes couvertes par l'assurance-crédit d'Agerti, un délai de paiement de 30 jours à compter de la date de facture s'applique.

6.3 Toute facture non intégralement payée à son échéance est majorée, de plein droit et sans mise en demeure préalable : (i) d'intérêts de retard au taux applicable aux transactions commerciales tel que fixé par la loi du 2 août 2002 concernant la lutte contre le retard de paiement dans les transactions commerciales ou, si cela est plus favorable à Agerti, à un taux fixe de 1 % par mois entamé ; (ii) de l'indemnité forfaitaire de 40 € pour frais de recouvrement à laquelle Agerti a en tout état de cause droit en vertu de l'art. 6 de la loi précitée ; et (iii) d'une indemnité forfaitaire complémentaire de 10 % du montant impayé, avec un minimum de 250 €, couvrant les autres frais de recouvrement (extrajudiciaires), sans préjudice du droit d'Agerti de prouver et de réclamer un dommage réellement subi plus élevé.

6.4 Le non-paiement d'une seule facture à son échéance rend immédiatement exigible, de plein droit et sans mise en demeure, le solde dû de toutes les autres factures du Client, même non échues. Agerti peut en outre, dans ce cas, suspendre ou annuler l'exécution des commandes en cours, sans préjudice de son droit à des dommages et intérêts.

6.5 Toutes les factures sont payables au siège social d'Agerti ou sur le compte bancaire d'Agerti. Agerti ne communiquera jamais une modification de ce compte bancaire uniquement par e-mail ; le Client est expressément invité à vérifier par téléphone, avant tout paiement, toute modification présumée du numéro de compte auprès d'une personne de contact connue d'Agerti. Agerti ne peut être tenue responsable des paiements effectués par le Client, sans cette vérification, sur un numéro de compte frauduleux ou erroné.

6.6 Le paiement par chèque ou par lettre de change n'est pas accepté par Agerti sans accord écrit préalable signé par un représentant dûment mandaté d'Agerti. Un paiement par chèque ou lettre de change, même s'il a été réceptionné par Agerti (ou par un représentant, agent ou autre préposé d'Agerti), n'est reconnu comme paiement valable qu'au moment où le montant correspondant a effectivement été crédité sur le compte d'Agerti. Agerti n'est en aucun cas responsable des chèques ou lettres de change — y compris leur perte, leur vol, leur falsification ou leur égarement —, et ce même après leur remise à Agerti, à un représentant, agent ou autre préposé d'Agerti, ou à toute autre personne agissant pour le compte d'Agerti.

Article 7 – Réserve de propriété

7.1 Les marchandises livrées restent la propriété pleine et exclusive d'Agerti jusqu'au paiement intégral du prix, en principal, frais et intérêts, de la ou des livraison(s) concernée(s), conformément à l'article 69 de la loi sur l'insolvabilité et aux articles du Code civil belge relatifs à la réserve de propriété. Le Client reconnaît que cette réserve de propriété constitue une condition essentielle de la vente et s'engage à maintenir les marchandises non encore intégralement payées identifiables en tant que telles et séparées des autres marchandises.

7.2 Nonobstant cette réserve de propriété, le risque de perte, d'endommagement ou de destruction des marchandises est transféré au Client conformément à l'art. 4.5. Le Client est dès lors tenu d'assurer les marchandises tant qu'elles n'ont pas été intégralement payées.

7.3 En cas de non-paiement d'une facture à son échéance, de non-respect des conditions de paiement, ou si Agerti a des raisons fondées de douter de la solvabilité du Client (en ce compris une demande de réorganisation judiciaire, une faillite ou une procédure similaire), Agerti a le droit, sans mise en demeure préalable et sans intervention judiciaire préalable, d'exiger la restitution immédiate de toutes les marchandises non encore (intégralement) payées, où qu'elles se trouvent — et ce, à titre de garantie maximale pour Agerti.

7.4 Le Client s'engage irrévocablement à accorder à Agerti, ou à un transporteur désigné par Agerti, le libre accès à ses locaux, magasins, entrepôts ou autres lieux où se trouvent les marchandises, afin de reprendre les marchandises impayées, et ce sans avertissement préalable. Tous les frais liés à cette reprise (transport, stockage, démontage, ...) sont intégralement à charge du Client.

7.5 Si les marchandises impayées ne peuvent plus être reprises (intégralement) dans leur état d'origine, le Client reste tenu au paiement du prix intégral de ces marchandises, sans préjudice du droit d'Agerti à une indemnité complémentaire.

7.6 En cas de revente par le Client de marchandises non encore payées avant le paiement intégral à Agerti, le Client cède dès à présent à Agerti, à titre de gage/sûreté, toutes les créances résultant de cette revente, à concurrence du montant encore dû à Agerti.

Article 8 – Consignation

8.1 Agerti ne pratique pas la vente en consignation (dépôt-vente). Tout régime de consignation requiert un contrat de consignation écrit distinct et spécifique, signé par les deux parties, ce contrat ne pouvant être valablement signé pour Agerti que par un représentant statutairement habilité d'Agerti NV.

8.2 Les engagements, accords, promesses ou arrangements verbaux de représentants, agents commerciaux, vendeurs ou autres préposés d'Agerti relatifs à un régime de consignation — ou à toute autre dérogation aux présentes Conditions — ne lient pas Agerti et sont réputés n'avoir jamais été valablement conclus au nom d'Agerti, sauf s'ils ont été confirmés ultérieurement par écrit par un représentant statutairement habilité d'Agerti.

8.3 À défaut d'un tel contrat de consignation signé, toutes les marchandises livrées au Client sont irrévocablement réputées vendues (et donc non consignées), et les présentes Conditions — y compris les conditions de paiement (art. 6) et la réserve de propriété (art. 7) — s'appliquent intégralement.

Article 9 – Politique de prix et protection de l'image de marque

9.1 Les marques d'Agerti ne se positionnent expressément pas dans le segment de la fast fashion, mais entendent préserver et véhiculer une image de qualité, durable et exclusive. Agerti estime que cette image est notamment garantie par une politique de prix digne et cohérente dans l'ensemble du réseau de vente.

9.2 Agerti demande dès lors expressément à ses Clients de limiter les remises, soldes, actions promotionnelles et autres réductions de prix sur les produits de ses marques et de les appliquer avec retenue, et de respecter autant que possible les prix de vente conseillés communiqués par Agerti, dans l'intérêt de l'image de marque et de la préservation de la valeur des collections — et également dans l'intérêt du Client et de l'ensemble du réseau de vente.

9.3 Pour éviter toute ambiguïté, et comme la loi l'exige : le Client reste toujours entièrement libre de fixer son propre prix de vente. Le présent article contient une demande et une recommandation expresses d'Agerti, et n'implique aucune obligation contraignante de pratiquer des prix de vente minimaux ou fixes.

9.4 Agerti se réserve néanmoins le droit, en cas de dérogation répétée et systématique à cette demande par un Client, d'une manière qui porte gravement et manifestement atteinte à l'image de marque, de revoir la relation commerciale avec ce Client (livraisons, remises accordées, accès aux nouvelles collections, displays, ...) ou d'y mettre fin, moyennant le respect d'un préavis de trois (3) mois, et toujours dans le strict respect du droit de la concurrence applicable.

Article 10 – Vente en ligne et places de marché

10.1 Le Client n'est pas autorisé à proposer, mettre en vente ou vendre les produits des marques d'Agerti via des places de marché en ligne (telles que, sans s'y limiter, Amazon, Bol.com, Zalando, eBay, Vinted Pro ou des plateformes similaires), via des sous-traitants ou des boutiques en ligne sous-traitées, ou via toute autre plateforme ou canal de vente en ligne qui n'est pas la boutique en ligne propre et directe du Client, sans l'accord préalable, exprès et écrit d'Agerti.

10.2 Si Agerti accorde une telle autorisation, celle-ci vaut — sauf convention écrite expresse contraire — pour une période initiale d'un (1) an à compter de la date d'octroi, puis pour des périodes successives de six (6) mois chacune, alignées sur les saisons commerciales d'Agerti (saison d'été : février – août ; saison d'hiver : septembre – janvier).

10.3 À l'expiration de la période initiale, puis à l'expiration de chaque période de 6 mois, l'autorisation est tacitement reconduite pour une nouvelle période de 6 mois, sauf résiliation en temps utile conformément à l'art. 10.4.

10.4 Chaque partie peut mettre fin à cette autorisation, à l'issue de la période initiale d'un an puis à l'issue de chaque période de 6 mois en cours, moyennant le respect d'un préavis de deux (2) mois avant la fin de la période en cours.

10.5 Sans préjudice des art. 10.2-10.4, Agerti se réserve le droit de retirer par écrit l'autorisation visée au présent article avec effet immédiat, même avant l'expiration de la période en cours, si le Client ne satisfait pas (ou plus) aux normes qualitatives exigées par Agerti pour la présentation et la vente en ligne des produits (en ce compris la qualité des photos et des informations produits, l'emballage et l'expédition, ainsi que le service clientèle), ou ne respecte pas la politique de prix visée à l'art. 9.

10.6 Pour la vente via la boutique en ligne propre du Client, Agerti demande de respecter les prix conseillés visés à l'art. 9 et de ne pas accorder en ligne de remises qui ne sont pas également appliquées hors ligne, toujours dans le respect de l'art. 9.3.

10.7 Une violation du présent article 10 permet à Agerti, après une mise en demeure restée sans suite dans le délai imparti, de suspendre la livraison de marchandises au Client ou de mettre fin à la relation commerciale, sans préjudice du droit d'Agerti à des dommages et intérêts.

10.8 Le respect de la politique de prix visée à l'art. 9 s'impose d'autant plus strictement pour la vente en ligne. Les marques d'Agerti attachent en effet une importance particulière à la préservation de leur réseau de vente physique (« brick-and-mortar ») — non seulement pour des raisons commerciales, mais aussi par conviction que, y compris d'un point de vue écologique, tout produit ne doit pas être bradé en ligne sans limite et à n'importe quel prix. Dans le même esprit, Agerti limitera au strict minimum ses propres remises et soldes en ligne, et les réservera en principe aux produits plus anciens ou aux restes de fins de série (« end of series »).

Article 11 – Displays et matériel promotionnel

11.1 Si Agerti met à la disposition du Client des displays, présentoirs ou autre matériel promotionnel ou de présentation, ce matériel reste la propriété d'Agerti et ne peut être utilisé que pour la présentation des produits d'Agerti, sauf convention écrite contraire.

Article 12 – Responsabilité

12.1 Agerti n'est responsable que de son dol, de sa faute intentionnelle ou de sa faute lourde, ainsi que de ceux de ses préposés.

12.2 Agerti n'est en aucun cas responsable des dommages indirects, tels que — sans s'y limiter — la perte de chiffre d'affaires, de bénéfices ou de clientèle, ou l'atteinte à l'image.

12.3 Sans préjudice de l'art. 12.1, la responsabilité d'Agerti pour tout dommage direct est en toute hypothèse limitée au montant de la facture (hors TVA) de la livraison ayant donné lieu au dommage.

Article 13 – Force majeure

13.1 Agerti ne peut être tenue responsable d'un retard ou d'un manquement résultant d'un cas de force majeure, en ce compris, sans s'y limiter : catastrophes naturelles, épidémie ou pandémie, guerre, grève ou lock-out, incendie, pénurie de matières premières ou de matériaux, problèmes de transport, cyberincidents ou mesures des autorités publiques, ainsi que toute autre circonstance échappant au contrôle raisonnable d'Agerti.

Article 14 – Propriété intellectuelle

14.1 Toutes les marques, logos, dessins, modèles et autres droits de propriété intellectuelle liés aux produits et aux collections d'Agerti restent la propriété exclusive d'Agerti et/ou de ses concédants de licence. La vente des produits n'emporte aucune cession de droits de propriété intellectuelle.

14.2 Le Client n'est pas autorisé à utiliser, reproduire ou modifier les marques, logos ou dessins d'Agerti, sauf dans la mesure strictement nécessaire à la revente normale des produits, et sauf accord écrit préalable d'Agerti dans tous les autres cas.

Article 15 – Traitement des données à caractère personnel (RGPD)

15.1 Agerti traite les données à caractère personnel du Client (ou de ses représentants) à des fins de gestion de la clientèle et d'exécution du contrat (sur la base de la relation contractuelle) et, le cas échéant, à des fins de marketing direct (sur la base de l'intérêt légitime d'Agerti). Le Client peut à tout moment et gratuitement s'opposer au traitement à des fins de marketing direct et exercer ses autres droits (accès, rectification, effacement, portabilité, opposition) via les coordonnées d'Agerti.

Article 16 – Incessibilité

16.1 Les droits et obligations découlant du contrat conclu avec Agerti ne peuvent être cédés par le Client à des tiers sans l'accord écrit préalable d'Agerti.

Article 17 – Divisibilité

17.1 L'éventuelle nullité, invalidité ou inapplicabilité de tout ou partie d'une disposition des présentes Conditions n'affecte pas la validité des autres dispositions. Les parties s'engagent à remplacer de bonne foi la disposition nulle par une disposition valable produisant un effet économique et juridique aussi proche que possible de celui de la disposition nulle.

Article 18 – Droit applicable et juridiction compétente

18.1 Les présentes Conditions et tout contrat entre Agerti et le Client sont exclusivement régis par le droit belge, à l'exclusion expresse de la Convention de Vienne sur les contrats de vente internationale de marchandises (CVIM).

GENERAL TERMS AND CONDITIONS OF SALE — AGERTI NV — Business-to-Business (B2B) customers

Article 1 – Scope

1.1 These general terms and conditions of sale (the "Terms") apply to every quotation, order, delivery and agreement between Agerti NV ("Agerti") and its professional customers (the "Customer"), to the exclusion of the Customer's own (purchasing) terms and conditions, even if the latter state that they alone shall apply.

1.2 These Terms apply exclusively to sales to businesses/professional buyers (B2B) within the meaning of the Belgian Code of Economic Law, and not to sales to consumers.

1.3 No derogation from these Terms shall be accepted unless expressly agreed in writing by a body of Agerti authorised under its articles of association or by an authorised representative of Agerti (see also Art. 8.2). The fact that Agerti does not invoke a provision of these Terms in a particular case can never be interpreted as a waiver of its right to invoke it at a later time.

1.4 By placing an order, the Customer acknowledges having read these Terms and accepts them without reservation.

Article 2 – Quotations and formation of the agreement

2.1 All quotations, price lists, catalogues and collections of Agerti are non-binding and do not commit Agerti, unless expressly confirmed in writing.

2.2 An agreement is only validly concluded upon written order confirmation by Agerti (acceptance is confirmed by default by means of a confirmation e-mail). Orders or agreements concluded by representatives, commercial agents or other sales staff of Agerti are not binding on Agerti until they have been expressly approved and confirmed in writing by a duly authorised person at Agerti.

2.3 Agerti reserves the right, at its sole discretion, to refuse or limit an order or a (new) business relationship, or to make it subject to an advance payment or other security. This applies in particular, but not exclusively: (i) if the creditworthiness or financial situation of the (prospective) Customer is doubtful; (ii) for commercial or strategic reasons, including Agerti's wish to monitor and steer its distribution network, its positioning and the image of its brands; or (iii) if the (prospective) Customer's shop(s), showroom(s) or (online) point(s) of sale are not (or no longer), in Agerti's reasonable opinion, compatible with the high-quality and exclusive image of Agerti's brands in terms of appearance, fit-out, location, surroundings or target segment.

2.4 Agerti applies the criteria referred to in Art. 2.3 in an objective, qualitative and non-discriminatory manner to all (prospective) Customers in a comparable situation, with the sole aim of safeguarding the quality, presentation and image of Agerti's brands. A refusal based on Art. 2.3 does not entitle the (prospective) Customer to any compensation.

Article 3 – Prices

3.1 All prices are always exclusive of VAT and exclusive of transport, packaging and insurance costs, unless expressly stated otherwise.

3.2 The price is determined in accordance with Agerti's rates applicable at the time of delivery. Rates, price lists or price indications shown or communicated to the Customer at the time the order is taken are purely indicative and do not bind Agerti.

3.3 Retail prices communicated by Agerti ("recommended retail prices") are indicative. However, see Art. 9 regarding the pricing policy requested by Agerti to protect its brand image.

Article 4 – Delivery and costs

4.1 Delivery times communicated are indicative and non-binding. Agerti depends on its production planning and on the supply of raw materials and materials from its suppliers, and will make every effort to serve the Customer as far as possible within the desired time frame.

4.2 A delay in delivery and/or failure to meet a delivery time cannot give rise to termination or rescission of the agreement — neither of the order concerned nor of the wider business relationship between the parties — nor to any compensation or price reduction payable by Agerti.

4.3 Within the European Union, Agerti delivers CPT (Carriage Paid To — Incoterms® in the version in force at the time of the order), so that transport costs are in principle included in the price. For orders with a net order value below €500 (excl. VAT), a flat-rate transport charge of €15 is nevertheless invoiced.

4.4 Outside the European Union, Agerti delivers in principle EXW (Ex Works — Agerti's warehouse), unless CPT delivery has been expressly agreed. If Agerti, at the Customer's request or by mutual agreement, organises transport on the Customer's behalf, the transport costs are passed on to the Customer on the basis of, at Agerti's choice and entirely at its discretion, (i) the estimated cost of the carrier appointed by Agerti, or (ii) the transport cost actually invoiced to Agerti. In that case, the carrier is always chosen by Agerti.

4.5 Without prejudice to the applicable Incoterm, the risk of loss of, damage to or destruction of the goods passes to the Customer when the goods are handed over to the first carrier (CPT), or when they are placed at the Customer's disposal in Agerti's warehouses (EXW), even where shipped carriage paid.

4.6 Agerti will use its best efforts to deliver the quantities ordered but gives no guarantee in this respect: the quantities actually delivered may differ from the quantities ordered, without this giving rise to any compensation or to refusal of the delivery by the Customer. If part of an order cannot be delivered, or cannot be delivered on time, Agerti will, within reasonable limits and in consultation with the Customer, do its best to replace that part with similar goods or other goods requested by the Customer; however, this does not constitute an obligation on Agerti's part.

Article 5 – Complaints and acceptance

5.1 The Customer must inspect the goods immediately upon delivery for visible defects, conformity and completeness. Complaints in this respect must, on pain of forfeiture, be notified to Agerti in writing (e-mail is sufficient) no later than 48 hours (2 calendar days) after delivery.

5.2 Other complaints (hidden defects, invoice disputes) must likewise be notified in writing within 5 calendar days of receipt of the invoice or discovery of the defect, respectively. Failing this, the delivery/invoice shall be deemed to have been accepted definitively and without reservation.

5.3 A complaint regarding part of the delivery does not entitle the Customer to refuse the entire delivery or to suspend payment of the undisputed part.

5.4 (Partial) use, onward delivery or resale of the goods constitutes acceptance of the delivery.

5.5 Except in the case of a complaint notified in time and validly in accordance with Art. 5.1-5.2, or with Agerti's prior express written consent, delivered goods will not be taken back. Outside those cases, the Customer has no right to return, exchange or refund of conforming goods, for example because of a change of mind or disappointing sales.

5.6 If the Customer refuses or prevents delivery or receipt of a correctly placed and conforming order, Agerti is entitled, automatically and without prior notice of default, to charge a flat-rate fee of 15% of the invoice amount (excl. VAT), plus the transport costs actually incurred (outbound and, where applicable, return), without prejudice to Agerti's right to prove and claim higher damage actually suffered. This does not affect the Customer's right to refuse a delivery in the event of a valid complaint in accordance with Art. 5.1-5.2.

Article 6 – Payment terms

6.1 Agerti's invoices are payable within [30] days of the invoice date, unless otherwise stated on the invoice or the order confirmation, and subject to the specific arrangement in Art. 6.2.

6.2 Customers who are not covered by Agerti's credit insurance must pay for the order in full in advance, before delivery. For orders covered by Agerti's credit insurance, a payment term of 30 days from the invoice date applies.

6.3 Any invoice not paid in full by its due date shall be increased, automatically and without prior notice of default, by: (i) late-payment interest at the rate for commercial transactions set by the Belgian Law of 2 August 2002 on combating late payment in commercial transactions or, if more favourable to Agerti, at a fixed rate of 1% per month or part thereof; (ii) the flat-rate compensation of €40 for recovery costs to which Agerti is in any event entitled under Art. 6 of the aforementioned Law; and (iii) additional flat-rate damages of 10% of the unpaid amount, with a minimum of €250, to cover other (extrajudicial) recovery costs, without prejudice to Agerti's right to prove and claim higher damage actually suffered.

6.4 Non-payment of a single invoice on its due date shall automatically and without notice of default render the outstanding balance of all other invoices of the Customer, even those not yet due, immediately payable. In that case, Agerti may also suspend or cancel the performance of pending orders, without prejudice to its right to damages.

6.5 All invoices are payable at Agerti's registered office or into Agerti's bank account. Agerti will never communicate a change to this bank account solely by e-mail; the Customer is expressly requested to verify any alleged change of account number by telephone with a known contact person at Agerti before making payment. Agerti cannot be held liable for payments made by the Customer, without such verification, to a fraudulent or incorrect account number.

6.6 Payment by cheque or bill of exchange is not accepted by Agerti without prior written consent signed by a duly authorised representative of Agerti. Payment by cheque or bill of exchange, even if received by Agerti (or by a representative, agent or other appointee of Agerti), is only recognised as valid payment once the corresponding amount has actually been credited to Agerti's account. Agerti is in no event responsible for cheques or bills of exchange — including their loss, theft, forgery or misplacement — not even after their transfer to Agerti, to a representative, agent or other appointee of Agerti, or to any other person acting on Agerti's instructions.

Article 7 – Retention of title

7.1 The goods delivered remain the full and exclusive property of Agerti until full payment of the price, including principal, costs and interest, of the delivery or deliveries concerned, in accordance with Article 69 of the Insolvency Act and the provisions on retention of title of the Belgian Civil Code. The Customer acknowledges that this retention of title is an essential condition of the sale and undertakes to keep goods not yet paid in full identifiable as such and separate from other goods.

7.2 Notwithstanding this retention of title, the risk of loss of, damage to or destruction of the goods passes to the Customer in accordance with Art. 4.5. The Customer is therefore obliged to insure the goods for as long as they have not been paid in full.

7.3 In the event of non-payment of an invoice on its due date, non-compliance with the payment terms, or if Agerti has well-founded reasons to doubt the Customer's creditworthiness or solvency (including an application for judicial reorganisation, bankruptcy or a similar procedure), Agerti is entitled, without prior notice of default and without prior court intervention, to demand the immediate return of all goods not yet (fully) paid for, wherever they may be — as the utmost security for Agerti.

7.4 The Customer irrevocably undertakes to grant Agerti, or a carrier appointed by Agerti, free access to its premises, shops, warehouses or other places where the goods are located in order to collect the unpaid goods, without prior notice. All costs associated with such recovery (transport, storage, dismantling, ...) shall be borne in full by the Customer.

7.5 If the unpaid goods can no longer be taken back (in full) in their original condition, the Customer remains liable to pay the full price of those goods, without prejudice to Agerti's right to additional damages.

7.6 If the Customer resells goods not yet paid for before full payment to Agerti, the Customer hereby assigns to Agerti, by way of pledge/security, all claims arising from such resale, up to the amount still owed to Agerti.

Article 8 – Consignment

8.1 Agerti does not sell on consignment (sale-or-return). Any consignment arrangement requires a separate, specific written consignment agreement signed by both parties; on Agerti's side, such agreement can only be validly signed by a representative of Agerti NV authorised under its articles of association.

8.2 Oral commitments, arrangements, promises or agreements made by representatives, commercial agents, salespersons or other appointees of Agerti in relation to a consignment arrangement — or to any other derogation from these Terms — are not binding on Agerti and shall be deemed never to have been validly entered into on Agerti's behalf, unless subsequently confirmed in writing by a representative of Agerti authorised under its articles of association.

8.3 In the absence of such a signed consignment agreement, all goods delivered to the Customer shall irrevocably be deemed sold (and therefore not on consignment), and these Terms — including the payment terms (Art. 6) and the retention of title (Art. 7) — shall apply in full.

Article 9 – Pricing policy and protection of the brand image

9.1 Agerti's brands expressly do not position themselves in the fast-fashion segment, but seek to maintain and convey a high-quality, sustainable and exclusive image. Agerti believes that this image is safeguarded in part by a dignified and consistent pricing policy throughout the entire sales network.

9.2 Agerti therefore expressly asks its Customers to limit discounts, sales, promotions and other price reductions on the products of its brands and to apply them with restraint, and to respect the recommended retail prices communicated by Agerti as far as possible, in the interest of the brand image and of preserving the value of the collections — which is also in the interest of the Customer and of the entire sales network.

9.3 For the avoidance of doubt, and as required by law: the Customer always remains entirely free to set its own resale prices. This article contains an express request and recommendation by Agerti and does not impose any binding obligation to apply minimum or fixed resale prices.

9.4 Agerti nevertheless reserves the right, in the event of repeated and systematic deviation from this request by a Customer in a manner that seriously and demonstrably harms the brand image, to review or terminate the business relationship with that Customer (deliveries, discounts granted, access to new collections, displays, ...), subject to a notice period of three (3) months and always in full compliance with applicable competition law.

Article 10 – Online sales and marketplaces

10.1 The Customer is not permitted to offer, put up for sale or sell the products of Agerti's brands via online marketplaces (such as, but not limited to, Amazon, Bol.com, Zalando, eBay, Vinted Pro or similar platforms), via subcontractors or subcontracted online shops, or via any other online platform or sales channel that is not the Customer's own direct online shop, without Agerti's prior express written consent.

10.2 If Agerti grants such consent, it applies — unless expressly agreed otherwise in writing — for an initial period of one (1) year from the date it is granted, and thereafter for successive periods of six (6) months each, aligned with Agerti's commercial seasons (summer season: February – August; winter season: September – January).

10.3 On expiry of the initial period, and thereafter on expiry of each 6-month period, the consent is tacitly renewed for a further period of 6 months, unless terminated in time in accordance with Art. 10.4.

10.4 Either party may terminate this consent at the end of the initial one-year period and thereafter at the end of each current 6-month period, subject to two (2) months' notice before the end of the current period.

10.5 Without prejudice to Art. 10.2-10.4, Agerti reserves the right to withdraw the consent referred to in this article in writing with immediate effect, even before the end of the current period, if the Customer does not (or no longer) meet the quality standards required by Agerti for the online presentation and sale of the products (including the quality of photographs and product information, packaging and shipping, and customer service), or does not comply with the pricing policy of Art. 9.

10.6 For sales via the Customer's own webshop, Agerti asks the Customer to respect the recommended retail prices referred to in Art. 9 and not to grant online discounts that are not also applied offline, always subject to Art. 9.3.

10.7 A breach of this Article 10 entitles Agerti, after a notice of default that remains unheeded within the time limit set, to suspend deliveries of goods to the Customer or to terminate the business relationship, without prejudice to Agerti's right to damages.

10.8 Compliance with the pricing policy of Art. 9 applies all the more strictly to online sales. Agerti's brands attach particular importance to protecting their physical ("brick-and-mortar") sales network — not only for commercial reasons, but also out of the conviction that, from an environmental point of view as well, not every product should be dumped online without limit and at any price. In the same spirit, Agerti will keep its own online discounts and sales to a minimum and will in principle reserve them for older products or end-of-series remainders.

Article 11 – Displays and promotional material

11.1 If Agerti makes displays, shelving or other promotional or presentation material available to the Customer, such material remains the property of Agerti and may only be used to present Agerti's products, unless agreed otherwise in writing.

Article 12 – Liability

12.1 Agerti is only liable for its own fraud, wilful misconduct or gross negligence, and for that of its appointees.

12.2 Agerti shall in no event be liable for indirect damage, such as — but not limited to — loss of turnover, profit or customers, or damage to reputation.

12.3 Without prejudice to Art. 12.1, Agerti's liability for any direct damage is always limited to the invoice amount (excl. VAT) of the delivery that gave rise to the damage.

Article 13 – Force majeure

13.1 Agerti cannot be held liable for any delay or failure resulting from force majeure, including but not limited to: natural disasters, epidemic or pandemic, war, strike or lock-out, fire, shortage of raw materials or materials, transport problems, cyber incidents or government measures, and any other circumstance beyond Agerti's reasonable control.

Article 14 – Intellectual property

14.1 All trademarks, logos, designs, models and other intellectual property rights relating to Agerti's products and collections remain the exclusive property of Agerti and/or its licensors. The sale of the products does not entail any transfer of intellectual property rights.

14.2 The Customer is not permitted to use, reproduce or modify Agerti's trademarks, logos or designs, except to the extent strictly necessary for the normal resale of the products, and except with Agerti's prior written consent in all other cases.

Article 15 – Processing of personal data (GDPR)

15.1 Agerti processes the personal data of the Customer (or its representatives) for customer management and performance of the agreement (on the basis of the contractual relationship) and, where applicable, for direct marketing (on the basis of Agerti's legitimate interest). The Customer may at any time and free of charge object to processing for direct marketing purposes and may exercise its other rights (access, rectification, erasure, portability, objection) via Agerti's contact details.

Article 16 – Non-transferability

16.1 The rights and obligations arising from the agreement with Agerti may not be transferred by the Customer to third parties without Agerti's prior written consent.

Article 17 – Severability

17.1 The possible nullity, invalidity or unenforceability of (part of) a provision of these Terms shall not affect the validity of the remaining provisions. The parties undertake to replace the void provision in good faith with a valid provision whose economic and legal effect is as close as possible to that of the void provision.

Article 18 – Governing law and jurisdiction

18.1 These Terms and every agreement between Agerti and the Customer are governed exclusively by Belgian law, with the express exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

18.2 Any dispute concerning the existence, validity, interpretation or performance of these Terms, or of any agreement between the parties, falls within the exclusive jurisdiction of the Enterprise Court of Ghent, Dendermonde division, without prejudice to Agerti's right instead to bring the matter before the court having jurisdiction under general law for the Customer's registered office/domicile.
